Role and Opportunity Details  (You must be 18+ to apply for this role)

Board Secretary.

This role supports the Chair of the Board by ensuring that the Board functions smoothly, the Trustees meet their responsibilities as defined by the Trust’s governing document, and the Charity complies with all relevant financial, legal and statutory regulations

Specific duties of the Board Secretary include:

  • Preparing agendas in consultation with the Chair and Office Manager.  Circulating the agenda and any supporting papers in good time.
  • Making all arrangements for meetings: booking the room, arranging for equipment and refreshments, and organising facilities for those with additional needs.
  • Receiving agenda items from other trustees and staff.
  • Taking minutes.  Circulating draft minutes to all trustees.
  • Managing a repository for all meeting minutes actions.
  • Checking that Trustees and staff have carried out actions agreed at previous meetings to agreed deadlines.
  • Ensuring the Charity complies with all relevant financial, legal and statutory regulations by managing and maintaining oversight of the Compliance Log,
  • Following up outstanding items and near-term deadlines with the action holder and communicating with the Board all open items, and those at risk of non-compliance.
  • Maintaining a directory of Trust Policies to ensure all are up to date, approved and reviewed in accordance with their agreed review schedule.

 

Specific Skills Required

  • Some prior knowledge of corporate governance and/or Board support is desirable.
  • Excellent organisational abilities.
  • Minute-taking experience.
  • Attention to detail to ensure all minutes and actions are accurate and produced on a timely basis.
  • Knowledge or experience of business and committee procedures.
  • Good verbal and written communication skills.
  • A willingness to undertake any required training in the role, particularly with respect to the Legal duties of a Charity per the Charity Commission of England and Wales.

Date(s) / Time(s) Required

The MAHT Trustee Board usually meets in the mornings for approximately 2 hours (9.30 am – 11.30 am), every 4-6 weeks.  You will also need to attend other meetings if you’re involved in specific projects, or support events.  This can equate on average to 1-2 days a month.
